Please read these Terms carefully. By accessing the Website, creating an account, purchasing a product or Service, joining Soothie Circle, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, please do not use our Services.
1. ELIGIBILITY
Our Services are intended for adults.
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, make a purchase, join Soothie Circle, or otherwise use our paid Services.
Our Services are intended for parents, caregivers, and other adults and are not directed to children.
2. EDUCATIONAL PURPOSE ONLY
Soothie provides educational resources and support for parents and caregivers.
Information provided through the Website, courses, programs, downloadable resources, videos, emails, Soothie Circle, social media, consultations, or any other Soothie content or Service is provided for general educational and informational purposes only.
Soothie is not a healthcare provider or medical practice, and our Services are not medical care.
Nothing provided by Soothie is intended to diagnose, treat, cure, prevent, or manage any disease or medical condition or to replace advice, diagnosis, or treatment from a qualified healthcare professional.
Participation in a Soothie course, program, community, or other Service does not create a doctor-patient, healthcare provider-patient, therapist-client, or other professional healthcare relationship.
3. NOT MEDICAL ADVICE
Information provided through Soothie should not be considered medical advice.
Eczema and other skin conditions can vary significantly from child to child. Information that may be appropriate for one child may not be appropriate for another.
Always consult your child's pediatrician, dermatologist, allergist, pharmacist, or other qualified healthcare professional regarding questions about your child's health, symptoms, diagnosis, medications, treatments, allergies, diet, or medical care.
Do not disregard, delay, discontinue, or modify professional medical advice or prescribed treatment because of information obtained through Soothie.
If you believe your child is experiencing a medical emergency, seek immediate medical attention or contact the appropriate emergency services.
4. NO GUARANTEE OF RESULTS
Soothie does not guarantee any particular health, skin, eczema, behavioral, sleep, lifestyle, or other outcome from using our Services.
Every child is different, and individual results will vary.
Testimonials, case studies, examples, experiences, reviews, and statements regarding results represent individual experiences and do not guarantee that you or your child will experience the same or similar results.
You remain responsible for determining, in consultation with appropriate healthcare professionals when necessary, whether any information or practice discussed through Soothie is appropriate for your family.
5. USER ACCOUNTS
Certain Services require you to create an account.
You agree to provide accurate, current, and complete information and to keep your account information up to date.
You are responsible for maintaining the confidentiality and security of your login credentials and for all activity conducted through your account.
Accounts are intended for individual use unless we expressly state otherwise.
You may not share, sell, transfer, sublicense, or provide your login credentials or account access to another person.
If you believe your account has been accessed without authorization, please contact us promptly at [email protected]
We reserve the right to suspend or terminate accounts that violate these Terms or are used in a manner that may harm Soothie, our users, or others.
6. PURCHASES AND PAYMENT
We may offer courses, digital products, memberships, physical goods, consultations, or other paid Services.
Prices, features, access periods, and other material terms will be presented at the time of purchase.
You agree to provide accurate billing and payment information and authorize us and our payment processors to charge the applicable amount to your selected payment method.
Payments may be processed by third-party payment processors such as Stripe.
You are responsible for any applicable taxes, duties, or other charges unless otherwise stated.
We reserve the right to change prices for future purchases at any time. Price changes will not retroactively alter a completed one-time purchase.
7. COURSE PURCHASES
Unless otherwise stated at checkout, Soothie educational courses are sold as one-time purchases.
Your purchase provides you with a limited, personal, non-exclusive, non-transferable license to access and use the purchased course and accompanying materials for your own personal and household educational use.
Purchasing a course does not transfer ownership of the course or any underlying intellectual property to you.
Course access may be subject to the access period, technical requirements, or other conditions disclosed at the time of purchase.
We may periodically update, modify, reorganize, replace, or discontinue portions of course content to keep our Services current or improve the user experience.
8. SOOTHIE CIRCLE SUBSCRIPTION
Soothie Circle may be offered as a recurring subscription.
The applicable subscription price, billing frequency, included features, and any introductory or promotional terms will be disclosed before you subscribe.
By purchasing a recurring Soothie Circle subscription, you authorize us and our payment processor to automatically charge your selected payment method at the stated billing interval until you cancel.
Your subscription will automatically renew at the applicable recurring rate unless you cancel before your next renewal date.
You may cancel your subscription using the cancellation method made available through your account or otherwise provided to you at enrollment.
Cancellation prevents future renewal charges. Unless otherwise required by law or expressly stated at the time of purchase, cancellation does not retroactively refund charges already incurred, and you may retain access through the remainder of the period for which you have already paid.
We may change subscription pricing or features from time to time. Where required by law, we will provide advance notice before a pricing change applies to a future renewal.
We may also discontinue or materially modify Soothie Circle. If we discontinue a paid subscription Service before the end of a period for which you have already paid, we will provide an appropriate remedy as required by applicable law.
9. REFUNDS
Our refund policy applicable to a particular course, membership, product, consultation, or other Service will be disclosed at checkout or on the applicable sales page.
Unless otherwise stated in the applicable refund policy or required by law, purchases are final after any stated refund period has expired.
If a refund is offered, you must comply with the requirements and time period stated in the applicable refund policy.
Nothing in these Terms limits any non-waivable refund, cancellation, or consumer rights available to you under applicable law.
10. PHYSICAL PRODUCTS
Soothie may offer physical products or goods in the future. Any applicable pricing, shipping, returns, exchanges, and other product-specific terms will be provided at the time of purchase.
11. CONSULTATIONS AND ADDITIONAL SERVICES
Soothie may offer consultations, group sessions, workshops, coaching, educational support, or other services in the future.
Unless expressly stated otherwise in a separate written agreement, such Services remain educational in nature and do not constitute medical care, diagnosis, treatment, psychotherapy, or another licensed healthcare service.
Additional terms, pricing, cancellation policies, scope, or conditions may apply to these Services and will be disclosed when they are offered.
12. SOOTHIE CIRCLE COMMUNITY
Soothie Circle is intended to provide a supportive educational community for parents and caregivers.
Members may post questions and discuss experiences relating to their child's skin, eczema, symptoms, allergies, medications, diagnoses, treatments, routines, and other topics.
Content posted by community members reflects the views and experiences of those individual users and does not constitute advice or recommendations from Soothie.
Soothie does not verify the accuracy, completeness, safety, or appropriateness of statements made by community members.
You should not rely on another member's experience as a substitute for professional medical advice.
When participating in Soothie Circle, you agree to communicate respectfully and use the community for its intended purpose.
13. USER-GENERATED CONTENT
Our Services may allow you to submit, upload, publish, post, transmit, or otherwise make available questions, comments, reviews, messages, photographs, information, or other content (“User Content”).
You retain ownership of your User Content.
By submitting User Content through our Services, you grant Soothie a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise use that User Content as reasonably necessary to operate, administer, moderate, and provide the Services.
This license does not give Soothie permission to use private community posts, personal health stories, or information about your child in public advertising or marketing merely because you posted them in Soothie Circle. We will obtain appropriate permission before using such content for promotional purposes where required.
You represent that you have the necessary rights and permissions to submit the User Content you provide.
You are responsible for your User Content and for deciding what information you choose to disclose.

When posting about your child, please be mindful of your child's privacy and leave out unnecessary identifying details.

We do not control third-party services and are not responsible for their availability, content, privacy practices, security, products, services, or conduct.
Your use of third-party services may be governed by separate terms and privacy policies.
21. WEBSITE AVAILABILITY AND CHANGES
We strive to provide reliable access to our Services but do not guarantee that the Website, course platform, community, or other Services will always be available, uninterrupted, error-free, or free from technical issues.
We may update, modify, suspend, restrict, or discontinue portions of the Services where reasonably necessary for maintenance, security, legal compliance, business operations, or improvement of the Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
SOOTHIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.
WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETELY SECURE, OR SUITABLE FOR EVERY USER OR CHILD.
WE MAKE NO WARRANTY REGARDING ANY PARTICULAR HEALTH OR OTHER RESULT FROM USING THE SERVICES.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
23. ASSUMPTION OF RESPONSIBILITY
You are responsible for decisions you make based on information obtained through Soothie.
You acknowledge that parenting, skincare, nutrition, allergies, medications, and healthcare decisions may involve individual circumstances that Soothie cannot fully evaluate through general educational content.
You agree to seek appropriate professional guidance when circumstances require individualized medical or other professional advice.
24. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOOTHIE CO. LLC AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE OR SERVICES.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES ARISING FROM RELIANCE ON EDUCATIONAL CONTENT, USER-GENERATED CONTENT, THIRD-PARTY SERVICES, LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOOTHIE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO SOOTHIE FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

- Your violation of these Terms
- Your unlawful or improper use of the Services
- User Content you submit
- Your infringement or violation of another person's rights
- Your conduct within Soothie Circle

26. TERMINATION
You may stop using the Services at any time, subject to any applicable subscription cancellation terms.
We may suspend, restrict, or terminate your account or access if you materially violate these Terms, misuse our Services, infringe intellectual property rights, threaten the safety or privacy of other users, engage in fraudulent activity, or otherwise create material legal, security, or operational risk.
Where reasonable under the circumstances, we may provide notice and an opportunity to correct the violation before termination.
Termination does not eliminate obligations that by their nature should survive termination, including intellectual property restrictions, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.
27. GOVERNING LAW
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent applicable consumer law requires otherwise.
Nothing in these Terms deprives a consumer of mandatory protections provided by the laws of the jurisdiction in which that consumer resides where those protections cannot lawfully be waived.
28. DISPUTE RESOLUTION AND INDIVIDUAL ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
To the fullest extent permitted by applicable law, you and Soothie agree to first attempt in good faith to resolve any dispute informally.
Before commencing arbitration, the party asserting a dispute must provide the other party with written notice describing the nature of the dispute and the requested resolution. Notices to Soothie should be sent to [email protected]
If the dispute cannot be resolved informally within thirty (30) days after receipt of the notice, either party may pursue binding arbitration, except for claims that qualify for small claims court or claims seeking injunctive or equitable relief relating to intellectual property rights or unauthorized access to the Services.
To the extent enforceable under applicable law, arbitration will be conducted on an individual basis, and neither party will seek to have a dispute heard as a class action, collective action, or representative proceeding.
The arbitration will be administered by a nationally recognized arbitration provider under its applicable consumer arbitration rules, and the Federal Arbitration Act will govern the interpretation and enforcement of this arbitration provision.
If applicable law prevents enforcement of this arbitration provision with respect to a particular claim or consumer, that claim may proceed in a court of competent jurisdiction.
29. JURY TRIAL AND CLASS ACTION WAIVER
TO THE EXTENT PERMITTED BY LAW, YOU AND SOOTHIE WAIVE THE RIGHT TO A TRIAL BY JURY FOR DISPUTES SUBJECT TO BINDING ARBITRATION.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Nothing in this section limits rights that cannot legally be waived.
30. INTERNATIONAL USERS
Our Services are operated from the United States.
If you access the Services from another country, you are responsible for complying with applicable local laws.
Nothing in these Terms is intended to waive mandatory consumer rights that apply to you under the laws of your country of residence.

The Privacy Policy is incorporated into these Terms by reference.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
35. NO WAIVER
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
36. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other lawful business transaction, subject to applicable law.
